Service-specific Terms of Use – OpenTouch TeamShare (“OTTS”)

OTTS is an OTPC Service in the sense of the General Terms of Use – OpenTouch Personal Cloud. Your use of it is governed by such terms of use, supplemented with these Service-specific Terms of Use.222

Definitions

“Leader” means an individual who is granted access right to OTTS by the End-Customer or the Business Partner, through their PCS account, and who can create workspaces

“Participant” means an individual invited by a Leader to collaborate in a workspace

“Project Space” means a workspace (in the collaborative workspace) assigned to a project in which the Leader may invite Participants

Service and Licensing

ALE providing You with the OTTS Service requires a valid Subscription by a Business Partner for its End-Customer.

If under the OTTS Service ALE provides You with a software (other than third party software), then ALE grants You (as Leader or Participant) a non-transferable, non-sublicensable, non exclusive right to display, perform and execute such software.

ALE is constantly innovating. You acknowledge and agree that the form and nature of the OTTS Service provided by ALE are subject to change without notice.

The End-Customer is entitled to provide Users with access to the OTTS Service. As an End-Customer, You acknowledge that You are responsible for the Leaders to whom You have authorized access to the OTTS Service.

Leaders are entitled to provide Participants an access to Project Spaces. As a Leader, You acknowledge that You are responsible for the Participants to whom You have authorized access to the Project Spaces.

Conduct

As a Leader, You are solely responsible for:

You agree (i) not to attempt to gain unauthorized access to other computer systems, or generally interfere with the use and enjoyment of the OTTS Service by another Leader; (ii) to comply with national laws governing online services; (iii) not to send, distribute, make available or transmit any software or other computer file containing a virus / harmful component; (iv) not to use the OTTS Service for illegal purposes, (v) not to remove from products, software, documents or websites used in connection with the OTTS Service, legal notices, disclaimers, copyright notices, trademark statements, and logos; (vi) not to interfere or disrupt networks connected to the OTTS Service; (vii) not to infringe copyright, patent, trademark, trade secret or other intellectual property rights of a third party, and (viii) not to transmit to and with the OTTS Service, any unlawful, third party confidential, or harassing, defamatory, racist, indecent, abusive, violent, threatening, vulgar, obscene or other objectionable material of any kind.

You agree not to reproduce, duplicate, copy, sell, trade or resell the OTTS Service for any purpose whatsoever, it being understood that Business Partners are authorized to resell the OTTS Services under a valid distribution agreement with ALE.

You warrant that the Content You upload to the OTTS Service does not infringe the rights of others, or violates in any way the legislation in force.

Access rights

As a Participant, You agree to respect the access rights You have been allocated by a Leader, and not to attempt to access parts of the OTTS Service you do not have access rights to.

Support, updates, backup

You understand that ALE can make updates at any time to the OTTS Service, but is not required to notify You of, or provide free of charge to You, such updates. If they are provided to You free of charge, You agree to accept any and all such updates.

If included in Your subscription, the OTTS Service may allow you to make backup of data. In such a case, ALE is merely committed to making backup devices available to You, and in no event can be held responsible for any loss or alteration of Your Content. Deciding if and when to back up your data is your responsibility.
